osapiens acquires the Nasdaq Metrio platform and customers, expanding its market leadership position for AI-driven compliance, reporting, and supply chain intelligence in North America.

New York, United States and Mannheim, Germany, 19th August 2026 - osapiens, the leading AI platform for compliance and supplier intelligence, supporting companies to reduce risks and improve supply chain visibility and performance, today announced that it has completed the acquisition of the Nasdaq Metrio platform and customers, an end-to-end non-financial reporting and carbon accounting software.

Non-financial reporting and carbon accounting are core to the osapiens HUB, delivered through its disclosures & reporting and carbon accounting suites. Nasdaq Metrio’s platform brings proven capability in both areas - enterprise non-financial reporting and disclosure, as well as carbon accounting - with deep coverage of the frameworks companies report against today, from California's climate disclosure laws to CDP and GRI to IFRS and SASB standards. Importantly, its audit-grade data management ensures disclosures remain compliant amid an evolving regulatory landscape.

For osapiens, the acquisition of Nasdaq Metrio’s platform and customers expands the company’s footprint in the United States and brings customers into the osapiens HUB where data can be collected once and reused across compliance requirements, supply chain regulations and carbon accounting initiatives. The use of AI across the platform will allow for greater automation, reducing manual effort and increasing operational efficiency. These capabilities extend beyond non-financial reporting, covering product compliance, supplier intelligence and traceability. Combined, this will create additional synergies, with increased supplier response rates, reduced duplicate data collection, and substantial efficiency gains across supply chain and compliance data.

osapiens recently reached unicorn status with an investment round led by Decarbonization Partners, a joint venture between BlackRock and Temasek, and is also backed by Goldman Sachs. The Nasdaq Metrio platform has a well-established footprint in North America, where the majority of its enterprise customers are based. The acquisition provides osapiens with an established customer base and local reference customers in a market the company is already investing in, further strengthening its market leadership position.

Financial terms of the transaction were not disclosed. Evercore is acting as financial advisor to Nasdaq in connection with this transaction. Hogan Lovells Cadwalader International LLP for osapiens as well as Skadden, Arps, Slate, Meagher & Flom LLP for Nasdaq are the entities acting as legal advisors on this transaction.
